In-House Legal Counsel (AI Automation)

About the role

Dapta is an AI automation platform growing fast across Latin America and the US, and is hiring its first in-house lawyer to build the legal function from scratch. The role reports directly to the CEO and works closely with Sales, Customer Success, Product and Finance. It suits a commercial lawyer who has worked at a tech company or advised startups, understands AI and data, and wants to be a business partner. The position is hands-on: you will draft, negotiate and close deals yourself.

Key responsibilities

• Commercial contracts: draft, review and negotiate customer agreements (MSAs, order forms, SOWs, SLAs) with enterprise and scale-up accounts; own contract templates and playbook positions; negotiate vendor, partner and reseller agreements; meet redline turnaround SLAs.
• Data privacy and AI compliance: cover Colombia's Law 1581, Mexico's LFPDPPP, Brazil's LGPD, GDPR and US state laws; draft DPAs, security addenda and responses to security questionnaires; ensure AI voice and text agents comply with TCPA, Colombia's Law 2300, WhatsApp and carrier policies; follow emerging AI regulations.
• Corporate and fundraising: support corporate governance, board consents, cap table hygiene and equity grants; lead diligence preparation for financings and manage the outside counsel budget.
• Employment and operations: structure employment and contractor agreements, including EOR arrangements; own internal policies (IP assignment, confidentiality, acceptable use, information security); protect IP and trademarks.

Required profile

• Law degree and active bar admission in Colombia (US or other Latin American admission is a plus).
• 2+ years of practice, including at least 2 in-house at a SaaS or tech company or at a law firm advising tech startups and venture-backed companies.
• Proven experience negotiating B2B SaaS contracts with enterprise customers and hands-on data protection compliance experience in Latin America.
• Advanced English (C1+), as most contracts and negotiations are in English.

Required skills

• Understanding of SaaS, APIs and AI models, enough to ask the right questions of Product and Engineering.
• Use of AI tools daily (e.g., ChatGPT, Claude, Harvey, Spellbook).
• Knowledge of the current landscape of AI, privacy and telemarketing regulation.
• Plain-language written communication and business-first judgment.
