Junior Associate Counsel, Commercial Transactions

About the role

Sezzle is seeking a Junior Associate Counsel to support commercial transactions. This early‑career role works closely with senior counsel on vendor contracts and merchant agreements, primarily governed by US law and negotiated in English.

Key responsibilities

• Review, negotiate and draft NDAs, order forms, SOWs, SaaS, data and marketing agreements using internal playbooks.
• Prepare first drafts of merchant agreements, amendments and onboarding terms, and incorporate counter‑party redlines with senior guidance.
• Identify high‑risk clauses (liability, indemnities, IP, data privacy, termination) and summarize them in plain English for deal teams.
• Provide day‑to‑day contract guidance to Sales, Partnerships, Procurement, Finance, Product and Engineering.
• Run contracts through Claude‑enabled AI review workflows, critique outputs and help improve playbooks.

Required profile

• Law degree and admission to practice in a US jurisdiction or LATAM (tarjeta profesional).
• 1‑2 years of commercial, corporate or transactional experience, including internships.
• Full professional fluency in written and spoken English and native or fluent Spanish.
• Strong attention to detail and ability to handle a high volume of contracts.
• Availability to work with full overlap with US Central business hours.

Required skills

• Regular, hands‑on use of AI tools such as Claude for legal research and workflow automation.
• Experience drafting and reviewing commercial contracts in English.
