M&A Lawyer – US Transactional Experience (Remote)

About the role

We are looking for an experienced M&A & Transactional Lawyer to support a U.S.-based client across mergers and acquisitions, corporate transactions, contract drafting and review, due diligence, and ongoing deal support. The position is fully remote and aligns with U.S. Central Time.

Key responsibilities

• Draft, review, revise, and negotiate commercial and transactional agreements.
• Support mergers, acquisitions, and other corporate transactions throughout the deal lifecycle.
• Conduct and coordinate legal due diligence, reviewing corporate records, material contracts, and transaction‑related documentation.
• Identify and communicate legal, contractual, and transactional risks arising during due diligence.
• Prepare and review transaction documents, ancillary agreements, disclosure materials, and closing documents.
• Assist with transaction closings, including document organization, execution tracking, and closing checklists.
• Conduct legal research relating to corporate, commercial, and transactional matters as required.
• Manage multiple matters and deadlines while maintaining high accuracy and attention to detail.

Required profile

• Undergraduate degree in Law and appropriate legal qualification in the candidate's jurisdiction.
• Mid‑to‑senior‑level professional experience in M&A, corporate transactions, or commercial transactional law.
• Demonstrated experience with contract drafting and review, legal due diligence, and transaction/deal support.
• Professional experience supporting U.S. M&A or transactional matters is strongly preferred.
• Excellent written and verbal English communication skills.
• Ability to work independently in a remote setting and collaborate effectively with remote teams.
