Bilingual Corporate Paralegal – Remote Friendly

About the role

The Corporate & Transactional Paralegal supports our corporate and business law practice, handling entity formations, mergers & acquisitions, corporate governance, and commercial contracts. This remote‑friendly position serves clients across multiple Colombian cities and requires a detail‑oriented, proactive professional.

Key responsibilities

• Prepare and file formation, qualification, conversion, and dissolution documents for corporations, LLCs, and other entities in various jurisdictions.
• Draft organizational documents such as bylaws, operating agreements, consents, and certificates, and maintain corporate records and minute books.
• Support M&A transactions by organizing due‑diligence materials, managing closing checklists, and filing transaction‑related documents (Certificates of Merger, UCC filings, EIN applications).
• Draft, review, and track commercial contracts including NDAs, service agreements, vendor and supply agreements.
• Conduct legal research, communicate with clients and government agencies, and maintain organized case files and task trackers.

Required profile

• Minimum 3 years experience as a corporate or business law paralegal in a law firm or in‑house setting.
• Strong knowledge of corporate formations, governance, entity structuring, and transactional processes.
• Proven experience preparing and filing documents with Secretaries of State and regulatory agencies.
• Experience supporting M&A due‑diligence and closings.
• Paralegal certificate or equivalent training preferred.

Required skills

• Proficiency in Microsoft Office.
• Proficiency in Adobe Acrobat.
• Experience with document management systems such as Clio or similar platforms.
