Legal Counsel – SaaS & Commercial Contracts

About the role

We are seeking a Legal Counsel to own the commercial and contract workflows that enable revenue growth, customer onboarding, and operational compliance. This position sits at the intersection of sales operations, legal operations, contract management, and compliance within a fast‑growing SaaS startup.

Key responsibilities

• Manage the full contract lifecycle from drafting, review, execution, renewal, to ongoing compliance.
• Draft, review, and redline commercial agreements such as MSAs, NDAs, Order Forms, pilot agreements, and related documents.
• Support customer contract negotiations while balancing business objectives and risk.
• Guide prospects through proposals and commercial discussions to maintain sales momentum.
• Serve as the primary internal point of contact for contract‑related queries and documentation.
• Complete client security questionnaires, vendor due‑diligence requests, and compliance documentation.
• Support SOC 2 reviews, compliance initiatives, and customer procurement processes.
• Maintain contract repositories, templates, playbooks, and documentation standards.
• Build and improve operational systems, trackers, dashboards, and workflows for visibility and efficiency.
• Partner with finance on invoicing, accounts receivable tracking, collections, and revenue operations.
• Develop commercial proposals, business case summaries, and supporting materials for customer‑facing opportunities.

Required profile

• 8+ years of experience in Legal Operations, Sales Operations, Contract Management, Commercial Operations, or a related role.
• Proven experience reviewing, redlining, and negotiating commercial agreements with enterprise customers.
• Strong understanding of SaaS contracts, including MSAs, NDAs, Order Forms, and service agreements.
• Excellent written and verbal communication skills in English.
• Strong organizational skills, exceptional attention to detail, and ability to simplify complex contractual concepts for business stakeholders.
